Dear Pangolin Diamonds Corp. Investor,
Welcome to the first newsletter to investors and friends of Pangolin Diamonds Corp. (the “Company”, “Pangolin”, “we” or “our”). The Board and Management of the Company will henceforth through this medium keep you abreast of the activities going on in and around Pangolin.
We have signed a Letter of Intent (“LOI”) with Key Gold Holding Inc. (“Key Gold”) (TSX.V: KGH) to complete a Reverse Takeover (RTO) transaction (the “Proposed Transaction”). The LOI is to be superseded by a definitive merger or amalgamation agreement between Key Gold and the Company.The details of the Proposed Transaction will be set out in a joint management information circular (the “Circular”) to be sent to the shareholders of Key Gold and Pangolin, and such Circular will contain complete disclosure of all material information and facts relating to the Proposed Transaction. If the Proposed Transaction is approved, and applicable regulatory approvals are obtained, the common shares of Pangolin could be trading on the TSX.V by later this year. Management of the Company believes that this public trading forum will provide the Company access to a global audience and capital markets to grow value for the Company’s shareholders. Pangolin has successfully raised over $1 million CAD towards future expenditures and general working capital requirements. The Company is currently working on its audited financial statements and concluding a NI 43-101 Technical Report (the “Report”) for the Tsabong North project (the “Tsabong Project”), one of the Company’s qualifying properties. The draft Report will be completed shortly and submitted to the TSX.V for their comments and approval. Should the TSX.V approve the Report, the Annual and Special Meeting of shareholders of Key Gold and Pangolin will be held approximately 90 days following the receipt of such approval. Assuming all approvals are obtained in a reasonable time, management of the Company expects the common shares of Pangolin to be trading on the TSX.V in late 2012.
We have also recently received the first renewals on prospecting licences 350 (“PL 350”) and 351 (“PL 351”) over Tsabong. According to the Botswana Minerals Act No 17 of 1999 (the “Act”), a prospecting license (“PL”) is valid for an initial period of 3 years, after which the holder of the PL can apply for two renewals, each for a period of two years. At the end of the first period, the holder shall relinquish no less than half of the area held under the PL. At the end of each period of subsequent renewal, half of the remaining area or such lower portion as determined by the Minister pursuant to the Act will be relinquished. The area to be relinquished can be made up of a single area or several smaller areas (see Figure 2).
Pangolin has done additional data processing over PL 350 and PL 351 that enabled the Company to identify further targets (see figure 3).
On PL 64-2011 in the Tsabong Project, a high- resolution aeromagnetic and radiometric survey was completed in May of 2012. In addition, the contractor also conducted two smaller high- density surveys over a series of very large targets identified within the Jwaneng South licence. These were focused on radiometrics for Th+U+K ( Th – Thorium; U – Uranium; K – Potassium) as these potential kimberlite targets are expected to be non-magnetic. The Th+U was one of the element pairs Pangolin identified as a kimberlite discriminant in the trace elements compared to the Th+U over the country rock. The high concentration of K in kimberlites is expected to act as an additional discriminant.
Field work is also underway on Pangolin’s other licences. In the Malatswae project, a ground gravity survey was completed. The results of this survey highlighted additional areas of potential alluvial trap-sites that will help define future drill sites.

We believe the Proposed Transaction with Key Gold, if completed, will bring significant benefits to each of the Pangolin and Key Gold shareholders. Excellent progress continues to be made in the field and the pace of data acquisition over our key projects in Botswana is rapidly taking us to a decision point to commence exploration drilling on a road to discovery during the last quarter of 2012.
